Terms of Service

1. Acceptance of Terms

By accessing or using the PGVitals platform, website, APIs, agents, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Service. Your continued use of the Service constitutes acceptance of any future amendments or modifications to these Terms.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and PGVitals ("we," "us," or "our"), operated as a sole proprietorship based in India.

2. Description of Service

PGVitals is a PostgreSQL database monitoring platform that collects performance metrics, query statistics, and index usage data from databases you connect via our monitoring agent. The Service provides dashboards, alerts, weekly digest emails, AI-powered query analysis, and related features.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Eligibility

You must be at least 18 years of age and capable of entering into a binding legal agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

4. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and API keys.

You are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We shall not be liable for any loss or damage arising from your failure to comply with this section.

5. Subscription Plans and Billing

PGVitals offers both free and paid subscription plans. Features, limits, and pricing for each plan are described on our Pricing page and may change at any time. Changes to pricing will apply to new billing cycles only and will not apply retroactively.

  • Free Plan: The free tier is provided "as is" with no guarantee of availability, uptime, or continued existence. We may modify or discontinue the free plan at any time without notice.
  • Paid Plans: Paid subscriptions are billed on a recurring monthly or annual basis through our payment processor (Stripe). By subscribing to a paid plan, you authorize us to charge your payment method on each billing cycle.
  • Taxes: All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes, duties, and levies applicable to your subscription.
  • Failed Payments: If a payment fails, we may suspend or downgrade your account until payment is received. We are not responsible for any loss resulting from account suspension due to payment failure.

6. Cancellation and Refunds

  • You may cancel your paid subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your prepaid billing period.
  • No Refunds: All payments are final and non-refundable. We do not provide refunds or credits for partial billing periods, unused time, downgraded plans, or any other reason whatsoever, to the maximum extent permitted by applicable law.
  • Downgrades: If you downgrade to a lower plan, the change takes effect at the start of the next billing cycle. No prorated refunds or credits will be issued for the remainder of the current billing period. You may lose access to features and data associated with the higher-tier plan.
  • Account Deletion: Upon cancellation or termination, we may delete your account data after a reasonable retention period (typically 30 days). We are not obligated to retain or provide any data after this period.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Use the Service to transmit viruses, malware, or any harmful code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated means (bots, scrapers) to access the Service beyond what our APIs explicitly allow.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure.

Violation of this section may result in immediate termination of your account without notice or refund.

8. Data and Your Responsibilities

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to collect, process, store, and display the database metrics and query statistics transmitted by your monitoring agent, solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights, permissions, and authorizations to connect your databases to our Service and to share the data collected. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and contractual obligations, including but not limited to data protection laws.

We do not access, read, or store the actual contents of your database tables. The monitoring agent collects only performance metrics, query text from pg_stat_statements, and schema metadata.

9. Intellectual Property

The Service, including all software, code, design, text, graphics, logos, and other content, is owned by PGVitals and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

You retain ownership of your data. However, we may use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, improving the Service, and any other lawful purpose, without any obligation or compensation to you.

10. Third-Party Services

The Service integrates with third-party services including but not limited to Stripe (payments), Slack (notifications), and Anthropic (AI features). Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of any third-party service, and we shall not be liable for any loss or damage arising from your use of or reliance on any third-party service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Service will be accurate, reliable, or complete.
  • Any errors or defects in the Service will be corrected.
  • The Service will meet your specific requirements or expectations.
  • The monitoring data, alerts, insights, or AI-generated explanations will be accurate, complete, or actionable.
  • The Service will detect all performance issues, security vulnerabilities, or problems with your database.

You acknowledge that you use the Service at your sole risk. Any reliance on the Service, its outputs, recommendations, alerts, or AI-generated content is entirely at your own risk. Database management decisions based on information provided by the Service are solely your responsibility.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PGVITALS, ITS OWNER, AFFILIATES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, business, goodwill, or anticipated savings.
  • Database downtime, data loss, data corruption, or data breaches.
  • Cost of procurement of substitute goods or services.
  • Business interruption or system failures.
  • Any damages arising from unauthorized access to your databases or data.
  • Any damages arising from the use of or inability to use the Service.
  • Any damages arising from actions taken or not taken based on alerts, insights, AI explanations, or any other output of the Service.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED INDIAN RUPEES (INR 100), WHICHEVER IS LESS.

THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

13. Indemnification

You agree to indemnify, defend, and hold harmless PGVitals, its owner, agents, contractors, and service providers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any data you submit or transmit through the Service.
  • Any claim that your use of the Service caused damage to a third party.
  • Any unauthorized access to your account due to your failure to maintain security.

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

14. Service Availability and SLA

We do not guarantee any specific uptime or availability of the Service. The Service may be subject to scheduled or unscheduled maintenance, upgrades, or outages. We shall not be liable for any unavailability of the Service for any reason, including but not limited to server failures, network issues, third-party service disruptions, natural disasters, or acts of God.

We do not offer any Service Level Agreement (SLA). No credits, refunds, or compensation of any kind will be provided for downtime or service interruptions.

15. Termination

We may terminate or suspend your account and access to the Service at any time, for any reason or no reason, with or without notice, and without liability to you. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent or abusive activity, non-payment, or discontinuation of the Service.

Upon termination, your right to use the Service ceases immediately. We may delete your account and all associated data. We shall not be liable to you or any third party for any termination of your access to the Service.

Sections 6 (No Refunds), 9 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 17 (Governing Law), and 18 (Dispute Resolution) shall survive any termination of these Terms.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, hardware failures, third-party service outages, or any other event beyond our reasonable control.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

18. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be in India. The arbitration shall be conducted in English. The decision of the arbitrator shall be final and binding on both parties.

YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. If you do not agree with the modified Terms, you must stop using the Service.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PGVitals regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, with respect to the Service.

22. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by PGVitals.

23. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction and without your consent.
